1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Apipie Tech Sdn. Bhd. (Company No. 202201020560) ("Apipie", "we", "us", "our"), the operator of apipietech.com (the "Site"). By accessing the Site, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms together with our Privacy Policy and Refund and Returns Policy, each incorporated by reference.

2. Eligibility

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, to place an order or create an account. By using the Site, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding contract. We may, at our sole discretion, refuse service to anyone, at any time, for any lawful reason.

3. Account Registration and Security

If you create an account, you agree to provide accurate, current, and complete information and to update such information as needed. You are solely responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at apipie.co@gmail.com of any suspected unauthorised use. We are not liable for any loss arising from your failure to keep your credentials confidential.

4. Products and Descriptions

We make reasonable efforts to display product information, including descriptions, images, colours, materials, and specifications, as accurately as possible. However, we do not warrant that product depictions on the Site are entirely accurate. Display colours may vary depending on your device. Packaging, batch markings, and minor manufacturing variations may differ from the images shown. Product availability is not guaranteed and is subject to change without notice.

5. Pricing and Pricing Errors

All prices are displayed in the currency selected on the Site and are subject to change without prior notice. The price you pay is the price displayed at the time you complete checkout. Despite our best efforts, a small number of products on the Site may be mispriced. If we discover a pricing error after you have placed an order, we will contact you for instructions or cancel your order and notify you of the cancellation. We are not obligated to honour an obvious pricing error even after we have sent an order confirmation.

6. Order Acceptance and Cancellation

Your placement of an order constitutes an offer to purchase. An order is accepted only when we send a confirmation email or otherwise dispatch the goods. We reserve the right to refuse, modify, or cancel any order, in whole or in part, at our sole discretion, including for reasons of suspected fraud, payment failure, stock unavailability, shipping restrictions, pricing errors, or violation of these Terms. Where we cancel an accepted order through no fault of yours, we will refund the payment to your original payment method.

7. Payment

We accept the payment methods displayed at checkout, which may include credit and debit cards, digital wallets (Apple Pay, Google Pay), and other gateways processed by Razorpay, Stripe, Revenue Monster, PayPal, and similar providers. By submitting payment details, you authorise us and our payment processors to charge the full order amount, including applicable taxes and shipping. All transactions are subject to the respective payment processor's terms.

8. Shipping and Delivery

Estimated shipping times are stated on the product page or at checkout and are estimates only, not guarantees. Actual delivery times depend on the destination, carrier, customs processing, and factors outside our control. Risk of loss and title pass to you upon delivery of the goods to the carrier for international shipments and upon delivery to the address you provide for domestic shipments. You are responsible for providing an accurate shipping address; we are not liable for delays or non-delivery resulting from an incorrect address.

9. Customs, Duties, and Import Taxes

Cross-border orders may be subject to customs duties, import taxes, value-added tax (VAT) or goods and services tax (GST), brokerage fees, and other charges imposed by the destination country. These charges are determined by the destination country's customs authority and are the sole responsibility of the Customer. We have no control over these fees and cannot predict their amount. If you refuse delivery to avoid these fees, you remain liable for the cost of the goods and return shipping.

10. Returns, Refunds, and Exchanges

Returns, refunds, and exchanges are governed by our Refund and Returns Policy, which forms part of these Terms.

11. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, audio clips, video, downloads, data compilations, and software — is the property of Apipie or its content suppliers and is protected by international copyright, trademark, and other intellectual-property laws. The compilation of all content on the Site is the exclusive property of Apipie and is similarly protected. You may not systematically extract, reproduce, modify, distribute, transmit, display, perform, or create derivative works of any portion of the Site without our prior written consent.

Third-party trademarks, service marks, and trade names that appear on the Site are the property of their respective owners. Their appearance does not constitute or imply endorsement, sponsorship, or affiliation.

12. User Submissions

If you submit reviews, comments, suggestions, photographs, or other content ("Submissions") to the Site, you grant Apipie a worldwide, perpetual, irrevocable, royalty-free, sub-licensable, transferable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display the Submissions in any form, media, or technology. You represent and warrant that you own or otherwise control the rights to the Submissions and that the Submissions do not violate any third party's rights or applicable law.

13. Prohibited Uses

You agree not to use the Site to: (a) violate any law, regulation, or rights of others; (b) transmit malware, viruses, or other harmful code; (c) interfere with the security, integrity, or availability of the Site; (d) engage in any automated scraping, harvesting, or extraction of data without our prior written consent; (e) impersonate any person or entity; (f) harass, defame, or stalk any person; (g) use the Site for any unauthorised commercial purpose; (h) bypass any measure we have put in place to secure or restrict access to the Site.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and all products and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free from viruses or other harmful components, or that defects will be corrected.

15. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Apipie, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost data, business interruption, or substitute goods, arising out of or in connection with your use of the Site or products purchased through the Site, even if Apipie has been advised of the possibility of such damages. In jurisdictions that do not allow such limitations, our aggregate liability for any claim shall not exceed the amount you paid for the relevant order.

16. Indemnification

You agree to indemnify, defend, and hold harmless Apipie and its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, and licensors from and against any claim, demand, loss, damage, cost, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of any law or rights of a third party, or your use of the Site or products purchased through the Site in a manner not authorised by these Terms.

17. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms caused by events beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, epidemic, pandemic, fire, flood, earthquake, labour disputes, supply-chain disruption, internet or telecommunications failures, or carrier delays.

18. Termination

We reserve the right to terminate or suspend your account or access to the Site at any time, without notice, for any reason, including breach of these Terms. Termination does not affect any rights or obligations that accrued before termination, including outstanding payment obligations.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

20. Entire Agreement

These Terms, together with our Privacy Policy and Refund and Returns Policy, constitute the entire agreement between you and Apipie regarding your use of the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written.

21. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict-of-law provisions. Subject to mandatory consumer-protection laws of your country of residence, the courts of Kuala Lumpur shall have exclusive jurisdiction over any disputes arising under or in connection with these Terms.

22. Modifications

We may revise these Terms at any time by posting an updated version on the Site. Changes take effect upon posting, except where a longer notice period is required by law. Your continued use of the Site after the changes constitutes acceptance of the updated Terms.
